VADP Board Meeting Minutes

Dec. 10, 2013 Minutes Approved
Steve reported that 501(c)(3) application was submitted 12/27/13.

Matt Sellman will submit resignation to Virginia Organizing, effective
12/31/2013 to release VO from future unemployment liabilities.

Board voted to hire Matt Sellman, effective 1/1/14, at the same
salary and hours per week under which he was employed at Virginia
Organizing upon his resignation.

Steve will contact Joe Szakos regarding unemployment liability
matter and ask that Joe recommend to his Board the release of
$10K in VADP moneys being held to hedge against possible future
unemployment liability (a consultation with a tax attorney
confirmed that, upon an employee’s resignation, VO is not
responsible for the employee’s unemployment benefits, should
he/she make a future claim).

Conflict of Interest policy adopted by Board. Matt Sellman will
circulate to all Board and Staff for signature and date and add to
annual calendar for January resigning.

Board voted to defer possible compensation for a portion of Matt
Sellman’s 2013 child care expenses until the next Board Meeting.
