Terms & Conditions

Please read the Terms & Conditions below carefully. If you agree to the provided terms, please print,
sign and upload a copy of the signed agreement in the "Upload Signed Grant Letter Agreement" field,
as indicated.

This Grant Agreement ("Agreement") is entered into between Fund for Nonviolence ("FNV") and Virginians
for Alternatives to the Death Penalty, Inc. ("Grantee"). The effective date of this Agreement is upon execution
and delivery by both parties, as indicated below.

a. Tax-Exempt Status of the Grantee: The Grantee is exempt under Internal Revenue Code Section
501(c)(3) and currently is classified as a public charity pursuant to Internal Revenue Code Section 509(a)
(1), (2) or (3).

. Expenditure of Funds: The Grantee will utilize the grant funds only for educational, scientific, literary,

religious or other charitable purposes. This grant is not earmarked to support or carry on any voter

registration drive, or to influence legislation or the outcome of any election. Thus, any use of grant funds
by the Grantee for such activities constitutes a decision of the Grantee that is wholly independent of Fund
for Nonviolence ("FNV"). The Grantee may not use any of the grant funds to satisfy a charitable pledge or
obligation of any person or organization other than FNV, or to provide any tangible economic benefit to
any FNV manager or substantial contributor or their respective family members.

Reporting: Grantee shall submit a full and complete report to FNV by the due date listed above. The

report shall contain: (1) a narrative description of Grantee's use of grant funds and the progress that

Grantee has made toward achieving the purposes for which this grant was made, addressing several

questions that will be provided by Grantor (available in advance upon request); (2) a financial accounting

of Grantee's expenditure of grant funds in the form of a Statement of Activities (Income/Expense

Statement).

d. Recordkeeping: Grantee shall keep adequate records to substantiate the charitable purposes of its
expenditures. Grantee shall make these books and records available to FNV at reasonable times for
review and audit, and shall comply with all reasonable requests for information and interviews regarding
use of grant funds. Grantee shall keep copies of all relevant books and records and all reports for at least
four years after completion of the use of the grant funds.

e. Return of Grant Funds: The Grantee agrees to return any grant funds not expended for the purposes

described above to FNV, c/o Foundation Source at 55 Walls Drive, Suite 302, Fairfield, CT 06824-5163.
The Grantee may need to return the enclosed grant if the Grantee is no longer recognized by the Internal
Revenue Service as having the above described tax-exempt status.

f. Foundation Connection: If FNV, its officers, directors, trustees, substantial contributors, and the family
members of the foregoing individuals, acting separately or together, "controls" the Grantee, additional
terms may apply. Here, the term "control" means the ability to require the Grantee (or any of its supported
organizations, if applicable) to make or refrain from making an expenditure, or to perform (or prevent it
from performing) any act which significantly affects its operations. While it is our understanding that the
Grantee is not so controlled, if the Grantee believes otherwise, the Grantee agrees to notify Foundation
Source immediately

. Other Terms: This grant is subject to these Grant Terms and Conditions, which encompass the entire
agreement between the FNV and the Grantee, and supersede all previous understandings and
agreements between FNV and the Grantee, whether oral or written.

FORMAL ACCEPTANCE: The foregoing terms and conditions shall become effective upon execution of this
Agreement by the Grantee.
