ARTICLES OF AMENDMENT AND RESTATEMENT OF
Virginians For Alternatives To the Death Penalty, Inc. (formerly knowns as Virginians
Against State Killing, Inc.)
The undersigned, on behalf of the corporation set forth below, pursuant to § 13.1-807 of the Code of
Virginia for a nonstock corporation, states as follows:
ONE
The name of the corporation prior to filing is Virginians For Alternatives To the Death Penalty,
Inc. (aka VADP, which was formerly knowns as Virginians Against State Killing, Inc.)
Two
The articles to be amended and restated are articles of incorporation, which b ffective on
Feb. 26, 1993, and any sub tt articles, i di its or its.
THREE
a) The Corporation is now known as Virginians for Alternatives to the Death Penaity, Inc.
b) The Corporation is organized exclusively for the p of ending stions in Virginia
¢) The Corporation is to have no members.
d) The directors of the Corporation shall be elected by a 2/3 majority at any Board of Directors
Meeting.
e) The name of the Corporation's registered agent is Jonathan P. Sheldon (the former registered
agent was Steven Rosenfield), a resident of Virginia and a member of the Virginia State Bar.
f) The Corporation’s registered office address, which is identical to the business office of the
registered agent, is 10621 Jones Street, Suite 301A, Fairfax, VA 22030.
g) The registered office is physically located in the city of Fairfax.
