Dear Donald,

This letter will set out the terms of our agreement on your joining the Kentucky
Coalition to Abolish the Death Penalty (KCADP) as Director of Education and
Advocacy.

Salary — (we can go as high as $45,000). KCADP will issue a payroll check on the
14" and 28" of each month.

Work — You will work full time for KCADP, except for one day each week in
which you have separate foundation responsibilities. It is understood that there can be
night and weekend work for which you may receive comp time from KCADP.

Benefits — vacation of _3???__ weeks each year plus national holidays.

Probation — we will have 90 days during which we each can make sure that we
work well together. Thereafter we will have annual evaluation and compensation

discussions.

Auto — You will use your own or rented vehicle with mileage reimbursement for
state travel.

Office — You will use your current office at the law firm, with reimbursement
from KCADP for (telephone, computer, copying, fax ?)

Fr. Pat Delahanty, the Board chair, will be the immediate supervisor and you
would report to him or his designee.

(After we have your input and a final agreement is reached, we each will sign this
letter agreement.)
