Dear Patrick:

| am happy to inform you that The Advocacy Fund, Death Penalty Mobilization Fund, has
decided to give your organization a $10,000.00 grant. This grant is for your organization to
contract with a media consultant to develop a campaign that makes abolition of the death
penalty a priority in Kentucky and to educate the public on the issue. We are enclosing a
$10,000.00 check as complete payment. By accepting payment, you agree to all the terms
and conditions set forth in this letter. On behalf of The Advocacy Fund, | would like to thank
you for your important work in this field.

The conditions of this grant are as follows

It is understood that your organization is exempt from tax under Section 501(c)(3) of the
Internal Revenue Code (“IRC”) and that the letter that your organization received from the
Internal Revenue Service recognizing this exemption has not been modified, limited, revoked
or superseded. It is further our understanding that these grant funds will be used exclusively
for charitable activities in a manner that is consistent with this tax-exempt status. If any of
these funds are used to make grants or contributions to other organizations, it is understood
that such grants shall be made exclusively to organizations that are exempt from tax under
IRC section 501(c)(3) or 501(c)(4). Specifically, the following terms must be upheld:

e Your organization agrees that at no time will any funds it receives from The Advocacy
Fund be used to influence the outcome of any specific public election, or to participate in,
or intervene in (including publishing or distribution of statements) any political campaign
on behalf of (or in opposition to) any candidate for public office. Additionally, your
organization agrees that at no time will any funds it receives from The Advocacy Fund be
used to influence the outcome of any selection, nomination, election, or appointment of
any individual to any public office or office of a political organization within the meaning of
Section 527(e)(2) of the Code.

Any portion of this grant not used for the stated purpose must be repaid to The Advocacy
Fund by your organization. Any change of purpose must be requested and approved in
advance, in writing.

Your organization agrees to submit to The Advocacy Fund a progress report (a two page
narrative and financial report) by August 1, 2014. Please email your report to
TAFcompliance@tides.org or, if needed, mail a hardcopy to The Advocacy Fund’s office in
San Francisco, Attn: Kathryn Snyder, Advisor. Please do not send additional materials

unless requested. In your report please briefly describe the use of the funds and activities
undertaken as a result of this grant by addressing the following:

e Impact and Assessment
* Challenges

e Evaluation and Lessons Learned
e Funding and Finances

The report must include the following certification:

“All activities conducted by Kentucky Coalition to Abolish the Death Penalty were and are
consistent with its status under Internal Revenue Code section 501(€)(4) which remains
unchanged since the proposal and related materials were submitted to The Advocacy Fund.
Kentucky Coalition to Abolish the Death Penalty warrants that it is in full compliance with its
grant letter dated November 8, 2013 and that, if the grant was subject to any restrictions, all
such restrictions were observed.”

Your organization agrees to notify The Advocacy Fund immediately, in writing of any change
in its tax-exempt status as described above, its executive staff or key staff responsible for
achieving the grant purposes, or any other change in its program that would affect its ability
to achieve the grant purpose.

All expenditures made for the purposes of the grant shall appear in your organization's
financial records, and such records will be made available to The Advocacy Fund at
reasonable times upon request. If you have occasion to announce or acknowledge this grant
publicly, please indicate that support was provided by The Advocacy Fund.

the interest of conservation, we request that you do not add The Advocacy Fund to your
general mailing list.
