Re: Amendment of Council Bylaws - Election of Officers

I recommend that the Council adopt the following resolution:

WHEREAS, section 356 of the Education Law provides that the Council shall be comprised of
ten members, nine of whom are appointed by the Governor and one of whom shall be elected by
and from among the students of the institution; and

WHEREAS, section 356 of the Education Law provides that the term of office for the student
member shall be one year commencing July first of the calendar year in which the student is
elected to serve as a member of the Council; and

WHEREAS, paragraph numbered 3 of Article VI of the Council bylaws currently provides for
the election of the Council Vice Chairperson and the Secretary annually by the Council, by
majority vote, at its last meeting of the University’s fiscal year, which is typically held in May of
each year; and

WHEREAS, conducting the election of Council officers at the last meeting of the fiscal year
prevents a newly elected student member from participating in the election of Council officers or
being eligible for consideration as a candidate for such a position during term for which the
student has been elected to serve; and

WHEREAS, in order for the newly elected student member to be able to participate in the
election of Council officers and be eligible for consideration as a candidate for such a position,
the election of Council officers would need to be conducted after July first of the calendar year in
which the student is elected to serve as a member of the Council;

NOW, THEREFORE, BE IT RESOLVED, that paragraph numbered 3 of Article VI hereby be
amended to read as follows (strikethrough indicates deletion and [brackets] indicate addition):
3: The Vice Chairperson and Secretary shall be elected annually by the Council, by
majority vote, at its last [first] meeting of the University’s fiscal year.
